Licensor wishes to grant Licensee a license to use said Idea in return for compensation and on the terms set forth herein:
§ 1 Agreement
1. Subject to the terms and conditions of this License Agreement (the “Agreement”) and payment of the applicable license fees, the licensor hereby grants to licensee an exclusive, irrevocable, transferable, worldwide, fully paid, royalty free right and license to use, display, exhibit, publicly perform, store and promote, in whole or in part, in any media now or hereafter known, with no restriction in time or place, the idea as described at Section V in the project, described at Section III by the licensor, to which the intellectual property and licensing rights lie with the licensor.
2. The licensor hereby guarantees that he is entitled to the rights assigned by this
agreement. Furthermore, licensor represents and warrants that the idea complies with all applicable federal, state and local laws, rules and regulations and do not violate any third party rights, including, without limitation, intellectual property rights and rights of publicity. Licensor will be solely responsible for the acquisition of any and all third party clearances, permissions and licenses which are necessary in connection with the Idea. Licensor will release, defend and hold harmless the licensee of all claims raised by third parties against the licensee regarding the use of these rights and any breach of this Agreement.
3. The licensee can pass on the rights transferred to him to further sub-licensees or third parties. There is no need to indicate the copyright of the licensor.
§ 2 License Fee
1. The efforts of the licensor shall be rewarded as described at VI. The transaction will be carried out by Licensee. Licensee agrees to transfer the license fee immediately upon signing of the contract by both parties.
2. The licensee is in no case obliged to further payments to the licensor. The licensor explicitly releases the licensee from all further claims to the use, reproduction and distribution of the idea.
§ 3 Force Majeure
Both contractual partners are mutually not responsible for any breach of contract, which was caused by force majeure.
§ 4 Duty to inform
Both contractual partners shall pass on to each other the information which may be needed by competent authorities in regard to the rights defined by this agreement.
§ 5 Choice of Law
Amendments (changes) to this agreement must be in written form. The same applies for an abrogation of the requirement of the written form. If this agreement is or will become in part or in full void or ineffective, this shall not affect the effectiveness of the other rules. Both parties oblige themselves to replace the ineffective rule by one which is most economically advantageous. Law applies according to the country and state of the licensee. Place of venue is the City of the Licensee.
§ 6 Confidentiality
The terms of this Agreement are confidential.
