The Swiss Army Knife is one of Switzerland’s most iconic and famous products. Most people are familiar with the classic red design and the unmistakable Victorinox cross and shield.

In 1884, with the active support of his mother Victoria, Carl Elsener opened his first cutlery workshop in Ibach-Schwyz, Switzerland. In 1891 he delivered his first major order of soldier’s knives to the Swiss Army. Following the death of his mother in 1909, Carl Elsener chose her first name Victoria as the name of the company. When the stainless steel (also known as ‘inox’) was invented in 1921, he changed the company name to “Victorinox” by combining Victoria with inox.

Victorinox is now run as an independent company by the fourth generation of the Elsener family in Ibach-Schwyz, Switzerland. The company has been synonymous with quality, functionality, innovation and iconic design, and has done for more than 130 years now.

Today, it is a global company with six product categories: Swiss Army Knives, Household and Professional Knives, Watches, Travel Gear, Apparel and Fragrances.

Since 2010, Victorinox has been producing an annual limited edition of the small 58 mm Classic pocket knife. Back in 2012 the first design challenge was held on jovoto. This contest is now being held for the fifth consecutive time. The Classic Limited Edition 2015 is meanwhile available to purchase in stores worldwide and so Victorinox is now inviting you to submit your design proposal for the new Classic Limited Edition in 2016.

After you have submitted your designs and the community has chosen their favourites, a Victorinox jury will pick out approximately 40 submissions. These designs will then be up for global voting, giving you and Victorinox fans worldwide the chance to decide which 10 designs will be produced in 2016. Imagine how cool it would be, if your design was chosen to go into production and then was available to purchase around the globe?!


The annual limited edition of the Classic pocket knife is a popular collector's item and gift all around the world. The fresh and new designs should also increase the impulse buys and strengthen the Victorinox brand and its reputation of being creative, functional and appealing.

Task Definition

Develop a new, exciting and unseen design that unmistakably combines your style with the latest trends and exciting graphic elements. Please be aware that the knife (which measures 58 x 14 mm) has a relatively small surface. Clear designs that are not too small will therefore have a higher recognition factor and make a greater impact. Victorinox is looking forward to seeing your iconic design proposal that will contribute to the worldwide success of the Classic Limited Edition 2016.

Target Group

The Classic Limited Edition has fans all around the world in an extremely broad target group between 20 and 50 years old. The buying decision of the average customer is based on impulse, so your design plays a crucial role in this decision process. Since the Classic Limited Edition is sold worldwide, the cultural background of each potential consumer plays a big role.

Mandatory requirements

Make sure you own all copyrights!

  • Only submit designs for which you own the full copyright and image rights. This includes, for example, pictures of celebrities or third-party brands. Since your design should be ready to be produced and sold globally - do not use any part or element of stock illustrations or stock images.

Make your design ready for production

  • You only need to create a visual for the synthetic scales of the Classic 58mm pocket knife. Your design will then be printed on the casing which are mostly in basic colors red, white, black, blue, yellow and green and are non-transparent.
  • In this project we are NOT looking for alternative shapes, functions or materials for the synthetic casing.
  • It must be technically possible to produce your design suggestions. An expert team from Victorinox will test the feasibility of your designs.

Use of the Victorinox logo:

  • The position, size and shape of the Victorinox logo on the knife may not be changed.

What you should NOT submit:

  • The shape and functionality of the pocket knife may NOT be changed.
  • Please do not submit design series, but just ONE idea and make sure that your final design is always shown at the top of your submission so it will be displayed in the ideas overview.
  • Show Victorinox your brand new, most progressive and iconic design ideas; designs that were already submitted in one of the previous Victorinox limited design challenges will NOT be taken into further consideration for this project.
  • Designs with any of the following elements will be removed from the project:
    • Weapons
    • Skulls and crossbones
    • Sexist insinuations and any kind of nudity
    • Anything that glorifies violence, hatred or racism

Required File Format

In case your idea is chosen by the client to be licensed, these are the file formats you will need to supply:

  • PDF format in high resolution (300 dpi)
  • Open layered file format (if possible vector-based)

The Client is really happy so far with the pool and quality of your ideas - so keep up the good work!

Here are some hints that you should keep in mind when working on your idea:

- Placing an existing photograph on the casing doesn’t really match their idea of a stand-alone design that’s especially developed for the collection. Therefore photographic solutions are not really inetersting for Victorinox.

- Only include text in your design if you think it really adds something to it overall. In case you do: keep in mind that the collection will be available worldwide and should be (as much as possible) understood worldwide.

- Please keep in mind that (known) personalities should not be depicted. It could get tricky with licensing and again: this is a direction Victorinox is not that interesetd in for the Classic LE.

- There was a question about weapons:
please make sure you never picture any object in a way that could suggest something violent - not even the knife itself! This is pretty important.  In case you chose to show an object that could function as a weapon but also has another usage (for example: axe),
that’s no problem, until it is used in a non-violent, responsible way.  

Some extra tips: What helps to create an iconic design for Victorinox?
- a strong and simple design-idea
- a clear and interesting (or funny) story
- the play with the brand atributes of Victorinox can be just as strong as the play with international design elements that underline the global presence of the Swiss Army Knife.
- the play with the existing shape of the product (always ask yourself: does my design fit uniquely to this product? (Great.) Or could my design be placed on anything else? (In that case it’s surely less iconic for this specific product.)

Here’s a  tip for the presentation of your ideas:

- It’s correct that you should only show ONE idea in a submission: yet if you only change the colors of some elements, that is considered as an idea VARIATION. All variations of the same idea should be uploaded as new slides to the original (and not as NEW submissions). Remember: there is an idea limit of 10 designs per person!

Hey there! I guess it depends a bit on the overall design, how you use and implement them. In general I guess yes, they are. But I could also imagine that they are just a small part of your design, not being actively used ad a weapon and not "glorifying violence" that I think could still go.

  • about the winning designs: there are the community prize winners and there are the Client's Choices (which will also go into production) - these 10 knifes will be licensed by Victorinox for 3.000 € each - see above on the top right. The two sorts of prizes are independent from each other.

  • yes, that's right: new unpublished designs please

  • there is no main theme, except the knife itself :) So the shape of it, the brand Victorinox, the usage of the knife and so on could be the main focus when coming up with a design idea.

I wanted to give you a heads up about a feature that Victorinox will be doing next to the project: it's called "Pick of the day" and will be running on their facebook page where they are going to feature a hand picked design a few times a week - with a little note from the idea owner.

This is something that has been done in the previous years too, so it's nothing brand new - except for jovoto / Your Swiss Army Knife "newbies" (hello & welcome!) :)

I will be the one getting in touch with you (via private message) about this and ask you for a short statement. So be prepared to be featured :)

I understand that i cannot submit series of idea in this project. Does it means that i should delete my previous design if i want to submit the same idea with additional changes? Would it be possible for any design revision without removing previous idea or compromising the maximum idea limit?

Hi there & welcome to jovoto! Sure, thanks for checking with me :)

So, here's how it works: you can (and are supposed to ;)) update your idea any time you have made changes. Simply add a new slide and make sure that it's the first one: your "cover slide" (it will be that automatically anyway). So there's no need to delete anything or expand the idea limit. It's that simple really. I hope this helps! Feel free to hit me up with any new questions.

Hai, Dora! It is great to be back in this project! I saw there are new questions in the" post your idea" Regard one of it, which is about our's country origin & the cultural background. If i from Asia Countries, is it my design should only feature the Asia's element & it's culture? or I can go freely outside the Asia? May be from Germany? Because I working on a design, which is not originated from my country, but from another continent.

The question is just there to make sure you filled the info out. Your design doesn't have to be connected to your culture at all! The best is to go for the country of Victorinox: Switzerland! ;) But anything is welcome really (if it follows the Brief 100%). You could also watch the video we have posted, it also mentions these things ;)

I have 2 questions: 1 _ can we change the color of the logo? 2) _ what does this mean: basic scale colors?

1.) The color of the logo you can change. Position and scale not! 2.) Basic scale colors means that Victorinox is printing in this colors. All used colors of a designs will mixed from this palette. Hope you understand & hope I'm right!:)

First, of all I want to thank the client and Jovoto for this kind of space, where the design process is out of the common structures to generate this amazing amount of visions and proposals. To be honest I have not been the most active designer in Jovoto, in fact I met the plataform from a client´s point of view, that is how I introduced my girlfriend to it, who is also a designer and has participated more than I, sometimes with my collaboration. This time I decided to participate with my own proposal for the legendary Victorinox knife (wich I am a huge fan of), in fact this is my first time as a creative participant in Jovoto. Having worked with time and structure in my proposal I find no feedback from guides or Jovoto creatives , which I do not know if it is a good or a bad thing. The votes I have received come from a few friends who could figured out how to vote, which is quite complicated. Apparently the popularity of the proposals does not depend much on their quality but from the expertise each participant has in getting someone to vote for them. I see a huge participation this year, which is a good thing, but I also see that many of the ideas do not have a quality or creative process, almost no one argues their proposals, from my experience this is a bad thing. A concept or idea without development is a simple uncultivated seed, this is frustrating as a experienced designer. I do this comments with the intention of improving the experience for the participants as well as to help improve Jovoto.

Here's a few points in which I will try to answer your questions too: - Thanks for your words! - I understand and totally agree with your point about constructive feedback and idea development. As the guide I am really trying to comment every idea (especially important if the task complicated and needs to work in every detail) - but sometimes (in projects with such huge number of participation) it's hard to leave a feedback comment under each and every one of them (last year we had over 1300 ideas!). - If you really feel left behind, you can always send me a message giving me a heads- up like " hey Dora, since you are the Guide and I don't have any comments under my idea yet, which upsets me a little as I wish to develop it further, it would be great if you could .." - I will definitely reply! - I hope you also saw that a lot of ideas have constructive feedback and there have also been quite a few updates and "thanks I will try that"-s? - About the voting: you do think it is complicated? We would like to hear your feedback on why you think so - to be honest I didn't really hear this one before.. Please drop us a message with your experience so we can improve on this. Thanks! - Also: I would like to share this FAQ with you about or voting system. I think quite some people (especially jovoto newbies) are not really familiar yet with our rating monitoring system and how rating works in general on the platform. We do our best and try to keep the process as fair as possible with an algorithm that detects bashing & supporting plus the fact that votes only start to count with a Karma above a certain level.

Puh... I hope this was helpful to you and maybe others too and answered a few things! Hi. I don't quite understand your point about the quality of ideas submitted to this project. I honestly think that we can come up with literally anything. Ideas are abstract, we articulate them with (in our case) Designs, so that others will (hopefully) relate to or moved by the "Idea". Although i believe that we can never be 100% objective, but we can absolutely argue about compositions, for example. It doesn't mean that an idea is a bad one if nobody cares for it, maybe it's because some people just don't relate to it. We all have our preferences (including the client), and we can share our thoughts with the communities (IF we choose to)... AND hope to win the money ;D After all, that's what this is all about: competition :):):)

Hi, I know that you Dora try to help whit great feedbacks, in my case I don´t feel left behind, just want to have feedback, I´ll send you a inbox message in the begining ask you to delete some slides, I was just waiting for a comment, I know how well you do it. I know that apparently, I look like a rookie in Jovoto, but as I comment I have worked with you from the client side, and my comments are based on the experience of working in closed projects, and now this is, that is open. It´s a big difference because the popularity become even more subjective. In this project you get votes from the same participants and friends; for friends the platform is unknown, they have created a profile as if they were designers to vote, suddenly here you can differentiate the votes of participants and friends from the process.

Hi Dora! I made some updates in two of three Ideas but I can't delete the previous images that got updated, is this normal?

Hi there! Yes, we have this feature that you can only delete slides in the period of 24 hours after uploading. After that you need to ask the project guide for assistance. This is so that ideas don't just disappear everywhere without us noticing. So please always send a private message to the Guide with a line like "Hey xy, could you pls delete slide numbers in this idea idea link - because...." That would be great! Thanks :)

Having said that: updates are great - but you don't necessarily have to get rid of the older slides - for several reasons:

  • it's nice to see where an idea came from and follow up on the development
  • sometimes the first comments on the top will not make sense anymore if we always only be able to see the "latest version" of everything.
  • people can still discuss about it saying "i think your update is great because.." or " I liked your first version better because ..." - maybe even the Client likes it better for whatever reason, you never know!

So everyone: don't be too hard on your "oldies" ;) - they are a part of your idea development!

RE: Danielfromreo1's comments - I agree on some points.

First, thanks to Victorinox and all the other clients for the great opportunities to design a wide-range of exciting projects. It's great to try new things and I love that it is such an open, horizontal platform for design.

Secondly, in general on jovoto I agree that feedback could be more plentiful and constructive. "I love it" is great, but it doesn't tell me anything. What did you love? What didn't you love that you're too polite to mention? Everyone on here realizes it's a competition, and should be able to give and take professional, constructive criticism. That's why we're allow to reply to comments - if we feel something is unfairly said, we can present our side. I think jovoto realizes this; that may be why there is a new award for best commenter.

Thirdly, regarding the voting it does seem baffling at times. How can anyone disagree with me? ;) But seriously: 1) Despite this being a forum of visual people, sometimes it seems the presentation is weighed more than the concept. 2)There was at least one time recently when the winning community concept seemed to not meet brief parameters, in my opinion. How does that happen? And 3) it does seem like oftentimes the same people end up winning. Not to take anything away from any winner, but it does seem odd that there is less diversity in the winner's circle.

There are many good designers here and we all have our stengths and weaknesses. No one likes negative feedback, but we ask for criticism when we put our work out there to be judged. I don't want anyone to take the above as personal criticism - hopefully it will be taken in the spirit intended - to help us all improve and grow.

Hey Dora, when I uploaded my design, there was no request for the "source file" or layer file as in a previous competition so I only uploaded my design shot. Should I have uploaded the AI file? Or can I do that later if I would be so lucky to be commended? Thanks!

It's really good that you didn't upload an AI file - because our server wouldn't be able to handle it (imagine everyone uploaded AI ;)) You find the supported formats for that in the Upload Form: "Image formats: PNG, PDF, JPG and GIF. PNG guarantees best quality." The original files will be needed in case you are the designer of one of the 10 designs that will be produced.

Hi Dora, just wondering about posting to Facebook - I have read the project terms and I interpret 3.1 as we are allowed until the close of submission phase and then not for six months. Is that correct?

Hi Mary! Yes that's right. After the 6 month period you can also use it in your online portfolio - "without the client's trademarks and other related rights".

To further clarify, are we allowed to license our design, or a variation of it, to other manufacturers (i.e. cut fabric, greeting cards, etc)? What restrictions apply?

Yes, so here's the thing: "You are not allowed to show your idea anywhere else for (those) 6 months." That's the time the Client is given to decide whether they wish to license it or not - so that's the time you offer your idea to them (in this project). If AFTER this period your idea was not chosen by the Client, you are welcome to use it in any way you wish (for your portfolio without the logo etc. - see above). But yes, you could then also start using your design for greeting cards / whatever else :)

The final countdown is about to begin, there's only 6 days left to submit your latest design or to edit your idea! Please make sure to keep the deadline in mind: Sep 22, 2015 at 17:00 UTC+02 No submissions can be accepted from our side after that.

I would also strongly recommend that you don't do everything last minute - but preferably make sure everything is uploaded in the next coming days. Experience shows that on the last day the platform can be extremely slow due to the big demand, when everyone is trying to upload at once.

Hey There! I have a question: Is it possible, that your developers set a "spotlight" on the helpful comments somehow? Maybe with a soft green background color or with a frame? Because there are actually 17 pages with 40 ideas on one page in this contest and it is impossible to read everything. It is also difficult to find out, which comment is the best feedback award. But if you highlight the comments which gets 5 clicks the system can activate that function itself. Like that function "you get 5 votes. Your comment is visible now". Do you know what I mean? Only an idea... :)

And if you do that, you can also include that into the menu. »Show All Unrated Collaborations Best Feedback« :)

While I am clicking through the top 100 I thought by myself, that it is a very difficult decision to find out only 10 designs for the new Limited Edition 2016. Because there are so many beautiful and creative designs for not only 1 but for 3 or 4 Limited Editions :) Maybe Victorinox can make a special contest with the best of the last 5 years - picking out their favourites and make a special jovoto Limited Edition - in honor of their great work ;) no matter how it will end: I am impressed by much more than only 10 great submissions. I had so much fun designing my Victorinox knife. There are so many wonderful variations and interpretations for the brief. Dora, I was wondering if you can tell us when we'll know which 10 designs were selected by Victorinox?

Sooo - as the brief also states: first " a Victorinox jury will pick out approximately 40 submissions. These designs will then be up for global voting, giving you and Victorinox fans worldwide the chance to decide which 10 designs will be produced in 2016."

There is no date yet for the (facebook) voting - but I assume in a few weeks time we will all know more. You will be the first to know about it - especially the creatives who's designs get picked, we will get in touch with them first.

I've seen and I voted for all the works here. After all that, I have an important impression which is, it seems to me, of interest for this concurs so I want to share it with everybody. It is about full size print given in the pdf document “VictorinoxPositionoflogooriginal”. In this pdf the full print size is marked with a red dashed line. This area is smaller than the full handle surfaces of the Swiss Army knife. This means that there is an external white area around the full printable surface. Many of submitted designs in this competition do not have such an empty area. In this way, small knives look nicer but this does not correspond to the real look of the knife after printing. This small inaccuracy can make a lot of problems in the prepress of the winning ideas. It might happen that some of the winning ideas require interventions which would, more or less, change the original design – the client already seen and expected. I think that, in the future, the solution for this problem is simple: The Photoshop’s documents (to be downloaded from Jovoto) should have selection masks. In this way, everyone will have the opportunity (and the obligation? ; ) to prepare a design in a certain way.

By the way, a knife with a logo in the current JPG file “VictorinoxPackshotoriginal_1” is a bit skew ... which is an additional difficulty that was not necessary.

A little revolted by this, my last design I have presented in this manner – why wouldn’t my work look better in the virtual reality than it would be the case in reality, as it is the case with many other submissions?

I have to agree with Kakel regarding the new level reached by this years designs. The bar has been raised really high for 2017 :D.. Can't wait to see the final results, and I really hope that best ideas will win. It's going to be a very difficult task processing this year's ratings. I doubt that all were fair. Ioan-well said! I have had moments where in a matter of just 2 votes my designs were pushed down signifficantly (talking about more than 10 places below) but at least I can be proud that I always voted according to my conscience (you cannot walk to winning by crushing others-be professional, right!?). It was tough and little details prevailed but I always tried to keep in mind that this design is all about impulsive buying. Having said that, it should be able to stand out immediately-to have that WOW factor! Anyways, like you said thank you Jovoto and congrats everyone for all of your hard and amazing work! xox

I can relate to your comments about fairness, too Ioan-Catalin Ralea-Toma and Antoanaoreski, as I experienced dropping down a lot just after 2-3 votes. Somehow, very often the number of comments and their content does not reflect the rating. The quality of the designs was amazing and I also hope the best designs win! Good luck to you all!

About my work. Total about 120 ratings. the last 60 votes average rate was 20% less compared to first 60 rates!?

About ratings, "strange" things happened to me too, as we were reaching the ending of rating period... I would not like this platform to suffer this kind of problems... I hope this can be solved soon to make contests more fair and accurate.

Magdalena commented it above: when we were very near to the end of the voting period and, after 2 votes, my ratings' average dropped a lot, and I think that this could be related to the way people vote, just that. That is what seemed strange to me. Anyway, as I said before, I am very satisfied with the high level of illustration and design shared this year and that makes this experience completely worthwhile ( in fact this is my first time and I will partcipate in next year's contest).

I am very angry and disappointed with all comments above, Apparently most of you are concerned about winning a community prize while others are focused on the main objective that is TO SELL OUR WORK TO VICTORINOX. IF YOU NEED MONEY, GO OUT THERE AND FIND A JOB! as someone told me… You should work for money AND DESIGN FOR LOVE! Most of you are thinking on a fast victory and you have forgotten to make more designs! That's why this year you can see less submissions than previous contests of Victorinox, but YES! I recognize the quality of tens of amazing ideas which deserve my compliments because their efforts. And I also see many creatives with more than three submitted ideas. Bravo!

Maybe the best designs will win this time, maybe not... until then you should think about TO CREATE designs instead of waste your time talking about ratings because in my opinion is LESS IMPORTANT!

I totally agree with you too, Caja. I also think that a jury evaluation would make things more fair, and I also did suggest this once. There are also people who sign up just to vote for friends and you can sort of see this on their profiles (karma points 103, no further activity at all on the platform). I really hope that this scores won't tell. It's a pity this things happen here, because I really love working on these projects! ;)

So I promised to keep you updated about the next steps. Here's the first news:

There will be an (internal) Expert voting by Victorinox for picking 30 designs. 17 Experts from different countries will be voting from the 8th - 15th of October.

After that we will get back to you with the picks - and of course the idea owners will be contacted personally.

In other news: It's very likely that there will be a change in the process, so the voting for the 10 final designs might not take place on facebook anymore - but some other microsite of Victorinox. More detailed info on this will be communicated as soon as everything is fixed. This final voting will most likely start in the first half of November.

There is also a problem with a confirmation email - a few people get the confirmation email, but when they want to confirm the vote, they are asked again to enter the email address. Once they do so, they get a message, that their votes have already been registered. But how can they be registered, if they just wanted to confirm it and they cannot? It is some crazy circle with an error, please check it!

I wonder why some members here have been so worried about voting. I thougt voting was focused for fans of Victorinox not for friends of designers here. I thought those fans are potential buyers. Maybe I understood something wrong ;)

Some members are or became (with this competition) Victorinox fans. It's more about the final 10, not about the actual voting. And I'm sure you would also like to buy your own design. who wouldn't? :)

Project terms

The following Project Terms are the legal basis for your participation in this particular project.

In §3 we define the rights that you pass on to jovoto when you submit an idea (for example, you may publish and share your idea on other websites or social media but ensure it is clear it is a submission created on jovoto).

In §4 we define the rights that you pass on to the client (for example, that the client is allowed to evaluate or review your ideas in order to help them make their decision). From §4.2 onwards, you find the details about which rights you pass to the client once the project is completed if they decide to license your idea.

In §5 you will find important points on what you will be held responsible for (like respecting copy rights and clearly marking all third party material in your submission).

Project Terms for the "Your Swiss Army Knife 2016" Public Project

1.    Scope

1.1    These project terms supplement the Terms of Use for creatives and apply to public projects in terms of section 3.1.1 of the Terms of Use. Definitions contained in the Terms of Use also apply to the context of these project terms. Public projects may be viewed by everyone. All registered creatives may submit ideas for such projects provided they accept these project terms.

1.2    By submitting an idea to the project, the creative accepts the terms of use and these project terms.

2.    Right to be Named as Author

By accepting these project terms and the terms of use, the creative waives any right to be named as author if the client wishes this when licensing the creative's idea. As long as the client does not purchase the idea, jovoto will ensure that the creative is named as author.

3.    Granting Rights of Use to jovoto


By submitting an idea to the project, the creative grants the rights of use listed in section 3 to jovoto.

3.1    Even when participating in a project or submitting an idea, the creative still retains the right, without restriction on content, time or space, to use his own idea for the purpose of self-promotion provided he observes the rights of third parties, in particular those of the client. This does not apply to the first six months following the end of the submission phase of a project. During this period, the creative is not permitted to use his idea in any other manner. The client's trademarks and other related rights may only be used if and when the client explicitly allows this for the performance of the competition. 

3.2    jovoto wishes to point out explicitly that participation in a project and/or submission of an idea does not confer on the creative any right to use material of jovoto or the client. In particular, participation in the project does not give the creative any right to use the logo or other materials belonging to the project sponsor (client) or to third parties. This does not apply in cases where the project terms or the project briefing call for other arrangements.

3.3    The creative submitting an idea to a project grants to jovoto non-exclusive transferable rights, without restriction on time, space or content, to use the idea, including associated creative works and any comments submitted therewith to the extent required for the operation of the platform. In particular, the creative grants to jovoto the right to make every comment and/or idea and the associated works on the platform accessible to third parties and to make any reproductions necessary for this purpose. The creative grants to jovoto the right to edit the works in question in order to present them more favorably on the website.

3.4    In addition, the creative grants to jovoto the right to make comments and/or the idea and the associated works publicly accessible for the purpose of presentation beyond the confines of the project, for example in the jovoto newsletter or in its blog, to distribute them and to edit them, in particular to create and present summaries or individual pictures of videos and texts, scaled-down versions of photographs ('thumbnails') etc.

3.5    Furthermore, the creative grants to jovoto the non-exclusive right, without restriction on content, time or space, to use the ideas and associated works in any medium for the purpose of communicating and promoting the project and/or ideas submitted to the project. To this end, jovoto may reproduce the ideas and associated works, distribute, edit, rearrange them, make them publicly accessible, broadcast and publicly play them in other ways, whereby this includes in particular making them available or broadcasting them by transmitting the content to fixed or mobile terminal devices of other creatives as part of automated subscription services (push services) or download services (pull services) (e.g. by podcast, RSS feed, Atom feed, XML interface or other technologies). The parties to this agreement consider the right of public reproduction also to include, in particular, the right to render the idea and associated works on the website using methods to play back audio and video data that can be received and simultaneously played by creatives (streaming), including the possibility of configuring the stream in such a way that the broadcast data can be stored by the recipient. In order to document the project and/or to promote the platform, jovoto may in particular include the creative's idea, alone or together with the ideas of other creatives, in a catalog of ideas, which will be made available to the client on conclusion of a project, and which it may reproduce as a different form of print publication and distribute (including as poster), where this serves as an appropriate form of publication for the platform, present at trade fairs (in particular in the form of banners, posters, video clips), make accessible as "best cases" on the platform, also in conjunction with other projects, or make generally publicly available, include in press releases or make available to third parties in the course of normal public relations work (for example for external press reports in journals).

3.6    In order to secure the greatest possible level of awareness and reach for the creative's ideas, the creative additionally grants to jovoto the right to publish the creative's ideas, and/or to have them published, on websites of external providers, to make the reproductions required for this and to transfer the individual works (i.e. the corresponding files) to the relevant third party, and/or to grant these providers technical access to the ideas for the above-mentioned purposes, including the right to reproduce the ideas for inclusion in their own websites. In order to achieve the aims mentioned in this sub-section, jovoto may use popular, established technical methods (e.g. embedded functions). The creative therefore consents to the relevant third-party provider adopting the works in question and also publishing them.

3.7    The creative will receive no monetary recompense for granting the aforementioned rights of use to jovoto. In return for being granted the rights, jovoto will present the creative's ideas on the platform and will give him the opportunity to sell his ideas to third parties or to jovoto and to participate with his ideas in projects.

3.8    In technical terms, the platform is a highly complex system with a large number of links. The content of creatives builds on from different user content and is cross-linked with it in many ways, etc. In addition, as a platform for creative services, the platform must provide a high degree of transparency and traceability – also covering the possibility of investigating or searching through events set in the past. The granting of rights of use in accordance with section 3 is therefore irrevocable and extends beyond any end to the user agreement. Content submitted by the creative to the platform can therefore remain accessible on the platform even after this license agreement terminates or the creative is no longer a user of the platform for other reasons.

3.9    jovoto also endeavors wherever possible to allow the creative every freedom to exploit his ideas vis-à-vis third parties. Within the scope of projects the creative may, where applicable, have the opportunity to subject his idea to open content licensing terms (such as Creative Commons licensing). Whether and to what extent this is to apply in an individual project (including the relevant details) will be specified in the briefing. The creative must in all cases explicitly indicate the use of third-party materials, including those that are subject to open licensing.

4.    Granting Rights of Use to the Client


By submitting an idea to the project, the creative grants the rights of use listed in section 4 to the client. The granting of rights of use in accordance with section 4.2 ff. is subject to the condition precedent that the client decides to acquire the creative's idea.

4.1    By participating in a project, the creative grants to the client the non-exclusive right of use, without restriction on content, time or space, to present his ideas and works as such outside of advertising campaigns or in order to promote the project, alone or together with the ideas and works of other creatives participating in the project, in any medium. Moreover, the creative grants to the client the right to use the ideas and works for the purpose of internal and external market research and for preparing the acquisition of the exclusive rights of use to the ideas and works. This may require the distributing and making the ideas and works publicly accessible, limited to the aforementioned purposes.

4.2    By accepting this license agreement, the creative grants to jovoto, subject to the condition precedent of the client's decision to acquire the corresponding rights from jovoto, rights of use to the idea that the creative has submitted to the project, together with all works, performances and activities contained in the idea, and to elements protected by copyright, design and performance protection rights associated with the idea (hereinafter referred to collectively as "works"), for exploitation in all known and unknown manners of utilization, in particular to the extent detailed below. This includes in particular – also in cases where rights arise at a later date – the exclusive, transferable right, unrestricted by content, time and space, and capable of being sub-licensed in parts, to reproduce the idea, and all works, performances and activities contained in the idea, irrespective of whether for payment or not, to distribute them, exhibit, rent out, to publicly render, in particular present, perform, display, make publicly accessible, broadcast, relay via cable or other systems (cable rebroadcasting), reproduce through video or audio medium, to make public via screen, loudspeaker or any other technical device, programs already broadcast or recordings made on the basis of public transmissions or to reproduce in any other intangible form, to edit and rearrange as well as to publish and use any such edited or rearranged form.

4.3    The aforementioned rights of exploitation for commercial or promotional purposes include in particular:

4.3.1    The right to reproduce the idea, and all works, performances and activities contained in the idea, in any tangible and/or intangible, digital or analog, form, e.g. through reprography or transfer to analog media (e.g. packaging, promotional material, advertisements, placards, books, stickers, printouts, pictures, illustrated books, books, comics, leaflets, flyers, photographs, photocopies, photo-mechanical processes, posters, magazines, newspapers), through digitalization or any other form of digital storage and to temporarily and/or permanently store on any other known type of data, video and/or video/audio media such as diskette, DVD, DVD-R, DVD-RW, DVD-RAM, HD DVD, Blu-ray Disc, CD-ROM, CD-R, CD-RW, CD-Audio, Super Audio CD, audio cassette, vinyl record, MMC, SD, MS, MS Pro, Flash Card, Smart Card, Secure Digital Card, memory stick, MiniDisc, DAT, hard disk, server, proxy server, USB stick and/or via transmission in the Internet or other data networks or through transmissions or in database systems; in particular this also includes the right to use the idea and all works, performances and activities contained in the idea for company-internal and -external presentations, in company-internal media such as intranet, PowerPoint presentations and for the creation and distribution of advertisements in print media and in electronic, especially online, means of advertising;

4.3.2    The right to distribute or put into circulation the idea and all works, performances and activities contained in the idea in any known way and on all physical analog and digital media independently or in combination with other works, especially in support of a product, and/or to offer these to third parties, in particular to rent and lend out irrespective of the distribution channel and the embodiment, in particular through distribution of the idea and all works, performances and activities contained in the idea on the aforementioned digital or analog media via wholesalers, resellers or retailers, mail order and irrespective of whether by remote sale, electronic transaction, free transfer or free distribution;

4.3.3    The right to transfer the idea, and all works, performances and activities contained in the idea, in any known technical manner and to make them known, and in particular accessible to the public. This includes, in particular, the fact that the idea and the associated works may be stored in digital form in a data processing system from which they may then be retrieved by third parties 'on demand' as a stream or download or any other form as digital signal via wired or wireless media and/or transmitted there with the consequence that the stored data are transferred to the receiving device of the third party where they may be decoded after storage, intermediate storage or immediately, i.e. converted into text, images and/or sounds and made visible or audible. The idea and the associated works may also be made available to the third party in such a manner that he/she may store the idea and the works contained therein and/or parts thereof in his/her receiving device and may access them there repeatedly. Interactive use by way of on demand is characterized by the ideas stored in digital form being made available to members of the public who are not present at the source of where they are made available, and being made available in such a way that members of the public have access to them and can request their transmission at independent times and places even if transmission of the works to third parties takes place at a later point in time than at the one requested. The online right of use exists independently of the form of transmission chosen by the client or its licensees for the use of the protected material and includes, for example, interactive or non-interactive online systems, electronic databases, the Internet, the World Wide Web, social networks and platforms such as YouTube, Twitter, XING, Google+, LinkedIn or Facebook, Apps, IRC or news, file sharing or application service providing;

4.3.4    The right to send or forward the idea, and all works, performances and activities contained in the idea, to third parties irrespective of whether in 'analog or digital' form whether via data networks in the form of subscription or download services (e.g. by streaming, video-on-demand, near-video-on-demand, podcasting, webcasting, simulcasting, IPTV, mobile TV, push services (such as RSS feed, XML interface, etc.) and pull services of all kinds) or via traditional modes of transmission such as public or private broadcast, rebroadcast and repeat broadcast via radio, television and similar systems of communication and reception, electromagnetic waves, electronic devices, wire, cable, satellite, antenna systems, digital means of communications and other technical equipment, whether via the client's own means of transmission or via public or private broadcast companies;

4.3.5    The right to publish the idea, and all works, performances and activities contained in the idea, first in any desired form at the point in time of the client's choosing irrespective of whether on any type of tangible media or in intangible form (e.g. on the Internet), irrespective of whether independently or in combination with other content such as a collection or multimedia work or as part of an encyclopedia;

4.3.6    The right to commercially exploit the idea, and all works, performances and activities contained in the idea, through the manufacture and sale of goods of all types (e.g. dolls, toys, stuffed animals, sports articles, household, bathroom and kitchen items, garments, printed matter including comics, sound storage media, headgear, buttons) and/or to exploit the media listed and described in this sub-section, the marketing of services of all types using the circumstances, names, titles, figures, illustrations or other relationships related to the idea, and all works, performances and activities contained in the idea, including the right to exploit the idea fully or in part through the production and sale of games/computer games, including interactive computer games, and/or other multi-media productions and/or other forms of work and to promote goods and services of any kind using such elements or through edited or unedited excerpts from videos ("merchandising right");

4.3.7    The right to modify, edit, combine, arrange the idea, and all works, performances and activities contained in the idea, in any manner, especially through correction and translation into any other language, through extension, conversion, augmentation, adaptation, complementing, through inclusion in databases or by the creation of collected works, through the substitution of images and figures, through changes to the characters of figures, or allowing such actions to be undertaken by third parties, and to publish, exploit, or have published and exploited, the edited or rearranged works in any of the ways described in the above provisions.

4.3.8    The rights granted exist irrespective of the technology used as the basis for the use of the right. In particular, the granting / transfer of rights of use are not bound to the form of data transmission (analog or digital), to the means of data transmission currently used or to the type of end-user receiving device. The client is especially entitled to allow this access via any type of equipment or device that is technically able to call up and/or represent the content provided. Access can be effected in particular with the aid of fixed devices (e.g. personal computer, set-top box for digital TV or Internet terminal) and mobile terminal devices, especially mobile telephones (via WAP, SMS, i-mode and any future standards), smartphones, electronic organizers, so-called personal digital assistants (based on operating systems such as Stinger, EPOC, Palm OS, Windows CE/Pocket PC), in particular via wired connections (telephone networks, TV cable networks, ISDN, DSL, Internet fixed line, etc.), via wireless connections (wireless local loop, satellite, radio [in particular DVB-H], mobile telephone networks [GSM, CDMA, HSCSD, GPRS, 3G, UMTS], wireless LAN) or in the process of synchronization with other electronic devices (e.g. via cable and network connection, Bluetooth or infra-red) and on the basis of various transmission standards and presentation formats (e.g. TCP/IP, SMS, MMS, EMS, PMS, smart messages, DVB, HTML, WML, cHTML, e-mail) in all online services, data and (tele-) communications networks, in particular the Internet.

The client is to be able to use the idea fully and exclusively on a permanent basis and to exploit it commercially, in particular for advertising purposes and across all media.

4.4    In addition to, and above and beyond, the above provisions, it is agreed that, if the creative has created a computer program, only the client will be entitled to exercise any proprietary rights to the computer program after the transfer of rights by jovoto.

4.5    Following the transfer of rights, the client is entitled at its own discretion and without the separate agreement of the creative, to transfer the rights listed in section 4 to third parties or to allow third parties to exercise such rights irrespective of whether in the original form or in an edited form. This applies independently of the content and scope of the license terms agreed with the relevant third party, i.e. irrespective of whether through the transfer of the exclusive right of use or through the assignment of individual or several fully inclusive or non-exclusive rights of use limited with regard to content and/or time and/or space.

4.6    The above provisions also apply in the event that the idea, and all works, performances and activities contained in the idea, have been combined with third-party protected material. If a collective creative work with shared copyright ownership has resulted from the combination of the works with other protected material, the creative herewith agrees to the exploitation of the collective work to the extent specified by the above provisions.

4.7    The use of material covered by open access or open content licensing terms for the development and creation of the project idea is prohibited, irrespective of whether this is done by the creative or third parties. The creative warrants that he will not use such material.

4.8    The idea will also remain visible on the platform even after being sold to the client. It will however be marked as 'sold (e.g. as 'Client's Choice').

4.9    The creative waives his right to be named as author in the exploitation of the idea. jovoto will work towards persuading the client that the creative's authorship should be acknowledged as author and that he should be named as such in accompanying material in cases where it is not possible to achieve such mention on specimens of the work.

4.10    Where the creative has used material and/or works of third parties in the course of developing and submitting the idea (for example photographs from publicly accessible databases, fonts, sample texts or similar), he also grants to jovoto and to the client rights of use to this third-party material and to these third-party works in accordance with the provisions of section 4.10. The sole exception to this are those parts of the idea that have been identifiably used for illustrative purposes and are marked as such components used solely for illustrative purposes and are explicitly titled as "SAMPLE" or "SPECIMEN" in the idea. Third-party materials and third-party works that are not marked as such will be treated as if they were the creative’s own works.

4.11    The condition precedent for the granting of rights in accordance with section 4 will be deemed to have been met when the client has made the decision to acquire the rights to an idea of the creative as specified in section 4, the client has informed jovoto of this in writing and jovoto has accordingly informed the creative in writing. jovoto will grant the license rights to the idea to the client immediately after the condition precedent becomes effective and the creative has been informed.

4.12    jovoto will immediately inform the creative in writing in cases where the client desires a direct license of rights from the creative. The creative and the client can then reach an agreement on the scope of the rights granted – if necessary with jovoto as mediator. jovoto will provide a specimen agreement on request.

4.13    The granting of rights of use in accordance with section 4 remains unaffected by the termination of the contractual relationship between the creative and jovoto and the underlying terms of use.

5.    Creative's Guarantee, Indemnity

5.1    The creative guarantees that he has developed all ideas, and works associated with the ideas together with the individual elements, himself, and that he is the owner of all rights that are necessary in order to grant the rights of use in accordance with sections 3 and 4 and to meet any other applicable conditions. The creative also guarantees that his ideas and associated works are free of any third-party rights.

5.2    The creative also guarantees that he will not submit or offer any content, in particular ideas or work samples, that encroach upon the rights of third parties or where content is ineligible in accordance with the above provisions. The creative must check whether his ideas and the associated works infringe the rights of third parties. Indications for such contractual infringements are given when, in particular,

5.2.1    Works subject to copyright, e.g. graphics, videos, photos or text (even when edited or alienated, unless the original can no longer be identified), are used that were not created by the creative himself;

5.2.2    The ideas contain performances subject to copyright or related rights such as live recordings of concerts, plays, circus performances, etc., or parts thereof, or include other performances protected by other related rights such as television programs (including opening and closing sequences);

5.2.3    Third parties have collaborated on the production of the content in such a way that they are able to acquire ancillary copyright, for example for recording, direction, editing, sound engineering, camerawork, etc. unless the persons in question have agreed to the exploitation of the idea created with their collaboration on the platform;

5.2.4    The content includes personal or other sensitive information about individuals or groups of people, unless the necessary consent and/or exploitation rights have been obtained by the creative;

5.2.5    Third parties are portrayed in photographs or videos in such a way that they play a major role in terms of their significance for the photo/video, unless the creative has obtained their explicit consent to the scene and to the exploitation of the results on the platform.

5.3    The creative also guarantees that he is not prevented by any contract of employment or other such agreement from contributing the relevant idea and participating with it in a project.

5.4    The creative will indemnify jovoto from any claims that third parties may assert against jovoto for infringement of their rights as a result of the ideas submitted by the creative. jovoto will inform the creative of any such assertion in writing immediately. The creative will make every effort to support jovoto in preparing a suitable defense. The creative will assume all costs incurred by jovoto in this connection, including reasonable costs for a legal defense. The creative is entitled to prove that the actual costs incurred by jovoto were lower than those claimed.

5.5    The same applies in the event of claims asserted by third parties when the creative infringes legal positions of third parties, in particular trademark rights or personal rights, or other legal provisions (such as prohibitions contained in the Act Against Unfair Practices – UWG) through the subject of the content, irrespective of the authorship thereof.
